DISTRIBUTORSHIP  AGREEMENT

Dear Mr. Williamson:  

This will serve to confirm our agreement (hereinafter referred to as "this Agreement") with you as follows:  

Clause 1. (Appointment of Exclusive Distributor)  

We appoint you and you agree to act as our exclusive distributor in the United Kingdom (hereinafter referred to as "the Territory") for our High-Resolution Color Printer range (hereinafter referred to as "the Products"). 　

Clause 2. (Annual Minimum Purchase Requirements)  

For each one-year period commencing on the date hereof during the term of this Agreement, you shall purchase from us such minimum quantities of the Products as set forth below.  

1) 3,000 units in the first year of this Agreement, and   

2) 4,000 units in the second year of this Agreement and each year thereafter. 　

Clause 3. (Individual Sales and Purchase Contract)  

1) We shall sell you the Products and you shall purchase the Products during the term of this Agreement in accordance with the terms and conditions of this Agreement.  

2) Each sale and purchase shall be evidenced by a separate individual sales and purchase contract, which shall become effective and be binding upon you and us when an order placed by you using the standard order form is accepted by us. A copy of such standard order form including general terms and conditions of business is attached hereto as Exhibit.
