Clause 4. (Stock and After-Sales Services)  

You shall maintain adequate stocks of the Products so as to enable you to supply promptly all orders reasonably anticipated in the Territory, and also maintain qualified mechanics and sufficient repair facilities so that reasonable after-sales services may be offered to your customers.

Clause 5. (Exclusivity)  

1) You shall not, during the term of this Agreement, distribute any products that directly or indirectly compete with the Products.  

2) We shall not, during the term of this Agreement, appoint any other distributor for the Products in the Territory and shall not supply, export or sell the Products to any other person in the Territory.  

Clause 6. (Termination of This Agreement)  

This Agreement shall continue in force for one year after the signing of this Agreement and shall continue thereafter until such time as it is terminated by either of us by giving written notice of termination to the other at least ninety (90) days prior to the date of termination. Any such termination shall not affect any existing order, obligation or other commitment incurred prior to the receipt of such notice.
